- Technology strategy and advisory services
The specific scope, deliverables, timelines, and terms for each engagement will be defined in separate service agreements or statements of work executed between Legacy Key Corporation and the client.
User Obligations
When using our services or accessing our website, you agree to:
- Provide accurate, current, and complete information as requested
- Maintain the security and confidentiality of your account credentials
- Use our services only for lawful purposes and in accordance with these Terms
- Not engage in any activity that interferes with or disrupts our services

Client Intellectual Property
We respect the intellectual property rights of our clients. Any pre-existing intellectual property provided by clients remains their property. The ownership of work product and deliverables created during service engagements will be specified in the applicable service agreement.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use our services for their intended purpose.
Confidentiality
Both parties acknowledge that during the course of our business relationship, they may have access to confidential information belonging to the other party. Confidential information includes, but is not limited to:
- Business strategies, plans, and financial information
- Technical data, designs, and specifications
- Customer and supplier information
- Proprietary processes and methodologies
- Any information marked as confidential or that reasonably should be considered confidential
Each party agrees to maintain the confidentiality of such information and not disclose it to third parties without prior written consent, except as required by law or as necessary to perform services under an agreement.
Payment Terms
Payment terms for professional services will be specified in individual service agreements or statements of work. General payment provisions include:
- Fees are based on the scope of work, resources required, and project complexity
- Payment schedules may include upfront deposits, milestone payments, or monthly billing
- Invoices are typically due within 30 days of the invoice date unless otherwise specified
- Late payments may be subject to interest charges as permitted by law
- We reserve the right to suspend services for accounts with overdue payments
- All fees are quoted in Canadian dollars unless otherwise specified
Warranties and Disclaimers
Service Warranties
We warrant that our services will be performed in a professional and workmanlike manner consistent with industry standards. Specific warranties for deliverables and work products will be outlined in individual service agreements.
Disclaimer of Warranties
Except as expressly stated in a service agreement, our services and website are provided on an as-is and as-available basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including but not limited to:
- Implied warranties of merchantability and fitness for a particular purpose
- Warranties regarding the accuracy, reliability, or completeness of information
- Warranties that our services will be uninterrupted, timely, secure, or error-free
- Warranties regarding results obtained from the use of our services
Limitation of Liability
To the maximum extent permitted by applicable law, Legacy Key Corporation and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:
- Loss of profits, revenue, or business opportunities
- Loss of data or information
- Business interruption
- Loss of goodwill or reputation
- Cost of substitute services
Our total liability for any claims arising out of or related to these Terms or our services shall not exceed the amount paid by you to Legacy Key Corporation in the twelve months preceding the claim.
Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.
Termination
Either party may terminate a service engagement in accordance with the terms specified in the applicable service agreement. General termination provisions include:
- Either party may terminate for convenience with appropriate notice as specified in the service agreement
- Either party may terminate immediately for material breach if the breach is not cured within a specified period
- We may suspend or terminate access to our services if you violate these Terms
- Upon termination, you must cease using our services and return or destroy any confidential information
- Provisions regarding confidentiality, intellectual property, and limitation of liability survive termination
Governing Law and Dispute Resolution
Governing Law
These Terms of Service shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.
Jurisdiction
Any legal action or proceeding arising out of or relating to these Terms or our services shall be brought exclusively in the courts located in Ontario, Canada, and you consent to the personal jurisdiction of such courts.
Dispute Resolution
In the event of any dispute arising from these Terms or our services, the parties agree to first attempt to resolve the dispute through good faith negotiations. If the dispute cannot be resolved through negotiation, the parties may pursue mediation before initiating formal legal proceedings.
General Provisions
Entire Agreement
These Terms, together with any service agreements and statements of work, constitute the entire agreement between you and Legacy Key Corporation regarding the use of our services and supersede all prior agreements and understandings.
Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
Waiver
No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or any other term.
Assignment
You may not assign or transfer these Terms or any rights granted hereunder without our prior written consent. We may assign these Terms without restriction.
Force Majeure
Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, or government actions.
